1. Acceptance of Terms

By accessing or using any product or service operated by Clandestino Ventures, LLC ("Company," "we," "us," or "our") — including Musavox, Musyn, and Probatio (collectively, the "Services") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Description of Services

Clandestino Ventures operates the following products:

• Musavox — An AI-powered lyrics transcription platform providing vocal isolation, ad-lib detection, bilingual intelligence, and confidence scoring for music industry professionals.
• Musyn — An A&R intelligence platform offering multi-dimensional artist analysis, breakout scoring, signal decay prediction, and competitive pressure detection.
• Probatio — A forensic audio intelligence platform providing copyright similarity detection, pre-release screening, and forensic litigation support with cryptographic chain of custody.

3. Account Registration

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Billing & Payments

All payments are processed securely through Stripe. By subscribing to a paid plan or purchasing credits, you agree to the following:

• Subscription Plans: Billed on a monthly or annual basis. Your subscription will automatically renew unless canceled before the end of the current billing period.
• Credit-Based Systems: Musavox and Probatio use credit-based systems where credits are consumed per use (e.g., per transcription or per analysis). Credits are allocated per billing cycle.
• Enterprise Plans: Enterprise agreements are invoiced separately and governed by individual contract terms.
• Forensic Cases (Probatio): Forensic litigation support is billed as one-time payments per case. Payment is required before analysis begins.
• Currency: All prices are quoted and billed in United States Dollars (USD).

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or process content that you do not have the legal right to use.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Use automated means to access the Services in a manner that exceeds reasonable use.
• Resell, sublicense, or redistribute the Services without written authorization.

6. Intellectual Property

Your Content: You retain all rights to content you upload or submit to the Services (e.g., audio files, metadata). By uploading content, you grant us a limited, non-exclusive license to process that content solely for the purpose of providing the Services.

Our Platform: The Services, including all software, algorithms, designs, trademarks, and documentation, are the exclusive property of Clandestino Ventures, LLC. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Services.

7. Data Handling

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and uploaded content.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied.

• AI-generated outputs (transcriptions, analyses, similarity scores, intelligence reports) are informational in nature and should not be considered legal advice.
• We are not responsible for decisions made based on the output of our Services.
• Probatio forensic reports are analytical tools; they do not constitute legal opinions or expert testimony unless separately engaged under a forensic services agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Clandestino Ventures, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services. Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate your account at any time. You may cancel your account through your account settings or by contacting support.

We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Services ceases immediately. Data deletion follows our Privacy Policy retention schedule.

11. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or through the Services. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in San Juan, Puerto Rico.
